Terms of Service — CoreOutpost

1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and CoreOutpost governing your access to and use of Netwatch, including the desktop application, web dashboard, agent software, and any associated documentation or services.

By installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease use of the Software.

2. Description of Service

Netwatch is a self-hosted network monitoring solution that enables authorized users to discover, identify, and monitor devices on their local area networks. The Software operates entirely on infrastructure owned and controlled by the User. CoreOutpost does not host, process, transmit, or retain any network data generated through your use of the Software.

3. License Grant and Restrictions

3.1 License Grant

Subject to your compliance with these Terms, CoreOutpost grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your personal use or internal business operations.

3.2 Restrictions

You may not, directly or indirectly: copy, reproduce, distribute, or create derivative works without prior written authorization; reverse engineer or decompile the Software; sell, sublicense, or commercialize the Software; remove any proprietary notices; use the Software in violation of applicable law; or use the Software to monitor any network without express written authorization from the network owner.

4. Authorized Use and User Responsibilities

The Software is designed exclusively for use on networks owned by the User or networks for which the User has obtained explicit written authorization. Unauthorized network monitoring may constitute a violation of the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and equivalent laws in other jurisdictions.

As a self-hosted solution, the User bears sole responsibility for the security, maintenance, and integrity of server and agent installations, implementing appropriate access controls, keeping the Software updated, and any consequences arising from misconfiguration or unauthorized access.

5. Intellectual Property

All right, title, and interest in and to the Software, including all intellectual property rights, are and shall remain the exclusive property of CoreOutpost. The Netwatch name, CoreOutpost name, associated logos, and all related trademarks are the exclusive property of CoreOutpost.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND. COREOUTPOST EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COREOUTPOST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SOFTWARE. COREOUTPOST'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

8. Indemnification

You agree to defend, indemnify, and hold harmless CoreOutpost and its officers, directors, employees, agents, and affiliates from any claims arising from your use of the Software, your violation of these Terms, or any unauthorized network monitoring conducted through your use of the Software.

9. Governing Law

These Terms shall be governed by the laws of the United States. Any dispute arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.
